Terms of Service
We may have separately executed a contract with you governing your use of the Services. If there is a conflict between these Terms and the contract, the contract will control for that conflict.
YOUR SLINK ACCOUNT
To register for the Service, you must complete the registration process by providing us with current, complete and accurate information as prompted by the registration form, including Your e-mail address , username and password. You will protect your passwords and take full responsibility for your own, and third party, use of your accounts. You are solely responsible for any and all activities that occur under your account. You will notify us immediately upon learning of any unauthorized use of your account or any other breach of security. Our support team may, from time to time, log in to the Service under your password in order to maintain or improve service, including to provide your assistance with technical or billing issues.
You shall not access, store, distribute or transmit any material, information and content during the course of your use of the services that:
- is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
- facilitates illegal activity;
- depicts sexually explicit images;
- promotes unlawful violence;
- is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or
- in a manner that is otherwise illegal or causes damage or injury to any person or property.
Malicious URL Report
You acknowledge and agree that we are the sole and exclusive owner of all right, title and interests in and to our services and monitoring data and all related documentation, source code, tools, scripts, processes, techniques, methodologies, inventions, know-how, concepts, formatting, arrangements, visual attributes, ideas, database rights, copyrights, patents, trade secrets, and other intellectual property, and all derivatives, enhancements, modifications and improvements thereof. Nothing in this Agreement or any other document shall be deemed to transfer ownership. You will comply with all applicable laws and regulations in your use of our services.
To the extent permitted by applicable law, you will indemnify, hold harmless and defend UC and its wholly owned subsidiaries, at your expense, from any and all third-party claims, actions, proceedings, and suits brought against UC or any of its officers, directors, employees, agents or affiliates, and all related liabilities, damages, settlements, penalties, fines, costs or expenses (including, reasonable attorneys' fees and other litigation expenses) incurred by UC or any of its officers, directors, employees, agents or affiliates, arising out of or relating to (i) your breach of any term or condition of this Terms, (ii) your use of the Service, (iii) your violations of applicable laws, rules or regulations in connection with the Service, (iv) any representations and warranties made by you concerning any aspect of the Service to any Third Party; (v) any claims made by or on behalf of any Third Party pertaining directly or indirectly to your use of the Service; (vi) violations of your obligations of privacy to any Third Party; and (vii) any claims with respect to acts or omissions of any Third Party in connection with the Service. We will provide you with written notice of any claim, suit or action from which you must indemnify us. You will cooperate as fully as reasonably required in the defense of any claim. We reserve the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.
Your use of our Services is at your sole risk. Except as otherwise provided in a writing by us, our Services and any content therein are provided “as is” and “as available” without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. In addition, we do not represent or warrant that our Services are accurate, complete, secure, reliable, current or error-free. While we attempt to make your use of our Services and any content therein safe, we cannot and do not represent or warrant that our Services or servers are free of viruses or other harmful components. You assume the entire risk as to the quality and performance of our Services.
Limitation of Liability
TO THE EXTENT PERMITTED BY APPLICABLE LAW, UC WILL NOT BE LIABLE FOR YOUR LOST REVENUES OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, EVEN IF UC OR ITS SUBSIDIARIES AND AFFILIATES HAVE BEEN ADVISED OF, KNEW OR SHOULD HAVE KNOWN THAT SUCH DAMAGES WERE POSSIBLE AND EVEN IF DIRECT DAMAGES DO NOT SATISFY A REMEDY. UC’S (AND ITS WHOLLY OWNED SUBSIDIARIES' TOTAL CUMULATIVE LIABILITY TO YOU OR ANY OTHER PARTY FOR ANY LOSS OR DAMAGES RESULTING FROM CLAIMS, DEMANDS, OR ACTIONS ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED $100 (USD).
Any dispute arising from these Terms and your use of our Services will be governed by and construed and enforced in accordance with the laws of Singapore, without regard to conflict of law rules or principles that would cause the application of the laws of any other jurisdiction. Any dispute between the parties shall be referred to and finally settled by arbitration under the Singapore International Arbitration Centre (“SIAC”), in accordance with SIAC’s arbitration rules in effect at the time of filing.
